1. About these terms

By creating an account, accepting an invitation to a workspace, or using HelloFriday in any way, you agree to these terms. If you do not agree, do not use the platform.

If you use HelloFriday for an organisation, you confirm that you have authority to bind it, and "you" includes that organisation. If you were invited into a workspace by someone else, your use is also subject to the rules that workspace's owner sets, as long as those rules do not conflict with these terms.

You must be at least 18 years old, or the age of majority where you live if that is higher, to create an account.

2. Definitions

  • HelloFriday, we, us means the operator of the HelloFriday platform.
  • Platform means the HelloFriday software and services, including the web portal, public sites, the API, integrations and Friday.
  • Workspace means the space in which an organisation runs its work on the platform. Each workspace is separate from every other workspace.
  • Surface means a built-in area of work on the platform, such as Documents, CRM, Projects, Forms, Workflows, Automations, Invoicing, Signing, Sites, Design and Client portals.
  • Friday means the AI agent built into the platform, and any agent you set up on it.
  • Your Content means everything you or your users put into the platform or create with it, including records, documents, files, messages, recordings, transcripts, designs, forms and site content.
  • Your Customers means the people and organisations you deal with through the platform, such as clients, contacts, leads, signers and payers.
  • Credits means the usage units the platform uses to meter AI and other metered features.

3. Accounts and workspaces

You must give us accurate information when you sign up and keep it current. You are responsible for everything that happens under your account, including actions taken by people you invite and by agents you set up.

Keep your sign-in details secure. Tell us promptly if you think someone has accessed your account without permission. We may rely on instructions that come from your account as if you gave them.

A workspace has owners and administrators. They decide who can join, what each person can see and do, which surfaces are switched on, and what each agent is allowed to reach. You are responsible for those settings. We are not responsible for access you grant.

One person may belong to more than one workspace. Your content in one workspace is not visible to another unless you or an administrator share it.

4. The platform and its surfaces

HelloFriday is a workspace platform. It brings together the surfaces listed above, and an AI agent that can work in them, so that you do not need separate tools for each job. Which surfaces and features you can use depends on your plan and your workspace's settings.

Some features are new, in beta or on a roadmap. We may label them as such. Beta features are provided as they are, may change or be withdrawn, and may not be covered by the service targets in section 19. Nothing on our website is a promise that a feature will exist at a particular time.

We may change, add or remove features. Section 24 explains how we handle changes that materially reduce what you paid for.

5. Friday, our AI agent

What Friday does

Friday can read, create, change and organise things in the surfaces you allow it to reach. Depending on how you set it up, that can include drafting documents, updating records, moving work between stages, preparing invoices, replying to messages, booking meetings, and acting on a schedule or when something happens in your workspace. Friday acts within the permissions of the person or agent configuration it runs under.

You stay responsible

Friday is software. It can be wrong, incomplete or out of date, and it can misunderstand an instruction. You are responsible for reviewing what Friday produces and for what Friday does on your behalf, in the same way you would be for any tool or team member you direct. Do not rely on Friday for legal, financial, medical, tax or other professional advice.

Approvals and limits

Some actions need a person to approve them before they happen, such as sending an invoice or placing a phone call. Other actions are limited by the reach you give an agent. You can narrow what an agent can do at any time. We design these controls to reduce risk, but they do not remove your responsibility to configure them sensibly and to supervise the agents you run.

Unattended agents

An agent that runs without a person watching, for example on a trigger or a schedule, acts on your behalf. You are responsible for its messages, calls, records and other actions as if you took them yourself. Only give an unattended agent the reach you are comfortable with it using without review.

Outputs

AI output may not be unique. Similar prompts from different users can produce similar results. As between you and us, you own the output Friday creates for you, subject to these terms and to any rights third parties hold in material you supplied.

6. Acceptable use

You and the agents you run must use the platform lawfully and responsibly. You must not, and must not let anyone else:

  • break any law or regulation that applies to you, including laws on privacy, consumer protection, marketing, anti-spam, telemarketing, recording of calls, discrimination and sanctions;
  • send spam, or send messages, texts or calls to people who have not agreed to receive them where the law requires agreement;
  • upload or share content that is unlawful, defamatory, fraudulent, infringing, or that exploits or harms children;
  • impersonate a person or organisation, or mislead people about who is contacting them, including by having an agent pretend to be a human where the law or good practice requires disclosure;
  • collect, store or process sensitive information, such as health, financial account or government identity numbers, without the lawful basis and safeguards that apply to it;
  • probe, scan or test the platform's security, or try to access another workspace or another person's data;
  • interfere with or overload the platform, or bypass limits, metering or access controls;
  • use the platform to build a competing product, or copy, reverse engineer or resell it, except as the law allows or we agree in writing;
  • introduce malware, or upload files you know to be harmful;
  • use automated means, other than our API and agents, to access the platform at a volume that harms others; or
  • use the platform for any purpose that could cause serious harm to people, including weapons development, or use agents to make decisions with legal or similarly significant effects on people without appropriate human oversight.

We may remove content, limit a feature or suspend an account that breaks this section. We may report unlawful activity to the authorities.

7. Calls, texts and emails

The platform can send email and text messages, and place and receive phone calls, including through agents. When you use these features you are the sender and the caller, not us.

You are responsible for having the right to contact each person, for honouring opt-outs, and for following the laws that apply to your messages and calls. These include, depending on where you and the recipient are, the Spam Act 2003 (Cth), the Do Not Call Register Act 2006 (Cth), telemarketing and calling-hours rules, laws about recording and transcribing calls, and equivalent laws in other places.

You must tell people when a call is recorded or transcribed if the law requires it. You must give a clear way to opt out of marketing messages and honour stop requests. The platform records some opt-outs for you, but it does not replace your own obligations.

Phone numbers you hold or buy through the platform are provided through our carrier partners and are subject to their rules and to regulatory requirements, including identity checks. We may suspend a number if a carrier or regulator requires it, or if it is used in breach of these terms. Carrier and regulatory fees may apply.

Emergency calls are not supported through the platform.

8. Your content and your data

You own it

Your Content stays yours. We do not claim ownership of it. These terms do not transfer any intellectual property in Your Content to us.

What we may do with it

You give us a limited, worldwide, non-exclusive licence to host, store, copy, process, transmit and display Your Content, and to have Friday and our service providers work on it, only as needed to provide the platform to you, keep it secure, prevent abuse, meet legal obligations and support you. We do not sell Your Content.

We do not use the content of your workspace to train generative AI models. We may use de-identified, aggregated information about how the platform is used, such as performance and usage counts, to run and improve the platform.

Your responsibilities

You are responsible for Your Content, including that you have the right to put it on the platform and to let us process it as these terms describe. If Your Content includes personal information about Your Customers or others, you are responsible for giving them the notices and obtaining the consents the law requires.

Getting it out

You can export much of Your Content from the platform while your account is active. After an account ends, we keep Your Content for a short period so that you can retrieve it, and then delete it as section 23 describes.

Backups and retention

We take backups to keep the platform running, but backups are for our recovery and are not a service to restore individual items on request. Keep your own copies of anything critical. Some records, such as audit trails, billing records and signed documents, may be kept for longer where the law or the nature of the record requires it.

9. AI processing and model providers

Friday and some other features send prompts, context and content to third-party AI model providers so that they can generate a response. The content sent is limited to what is needed for the task. Those providers process it under terms that restrict how they use it.

If you connect your own AI provider account or key, that is a separate relationship with that provider, you are responsible for its terms and charges, and we use your key only to run your requests.

AI services may be unavailable, slow or change in behaviour. We may switch model providers or models to maintain quality, cost or availability. Features that depend on AI may therefore change over time.

Do not put into the platform information that you are not allowed to share with a service provider. You are responsible for deciding what Friday can read in your workspace.

10. Fees, credits and billing

Plans and credits

Some features are free and others are paid. Paid plans, any included credits, and prices are shown when you sign up or upgrade, or in your agreement with us. AI and some other features use credits. When your credits run out, the related features may stop until you add more or your plan renews.

Billing

You agree to pay all fees for your workspace on time, using the payment method on file. Fees are charged in advance for each billing period unless we say otherwise. Subscriptions renew automatically until cancelled. You can cancel at any time and the cancellation takes effect at the end of the current period.

Taxes

Fees do not include taxes. You are responsible for any GST, VAT, sales or similar taxes that apply, other than taxes on our income. Where we must collect tax, we will add it to your invoice.

Late and failed payments

If a payment fails, we may retry it and tell you. If it stays unpaid, we may limit or suspend paid features, and we may move your workspace to a free plan. We may charge reasonable costs of collecting overdue amounts where the law allows.

Price changes

We may change prices. We will give you at least 30 days' notice before a change applies to you, and you can cancel before it takes effect.

Refunds

Except where the law requires otherwise or we say otherwise in writing, fees are non-refundable, and we do not give refunds for part-used periods or unused credits.

Trials

If we offer a trial, it ends on the date shown. Unless you cancel or upgrade, your workspace may move to a free plan and some features may be limited.

11. Payments between you and your customers

The platform can help you invoice Your Customers, collect payments and, where offered, take part in marketplace payments. Payments are processed by third-party payment providers, such as Stripe, under their own terms. To use these features you may need to complete their onboarding and identity checks and accept their terms.

You are the seller of the goods and services you invoice. We are not a party to the contract between you and Your Customers. We are not responsible for what you sell, how you price it, disputes, refunds, chargebacks, or the tax treatment of your sales. Chargebacks and fees from payment providers are your responsibility.

We do not hold your money as a bank. Funds move between payers, payment providers and your connected account under the provider's terms.

When Friday prepares an invoice or a payment request, check the amounts, recipient and tax before it is sent. Sending an invoice can have legal and financial effects.

12. Electronic signatures

The platform lets you prepare documents and ask people to sign them electronically. Electronic signatures are valid and enforceable in many places, but not for every kind of document and not everywhere. Some documents, such as certain wills, property transfers or documents that must be witnessed or notarised, may need other formalities.

You are responsible for deciding whether an electronic signature is appropriate and sufficient for each document, and for the content of the documents you send. We provide the tools and an audit record. We do not give legal advice, we do not check what a document says or whether it is enforceable, and we are not a party to any document you send.

Signers see your name and branding when they sign, so make sure you have the right to use them. You are responsible for keeping signed copies you need. Signed documents and their audit records may be kept for the periods the law requires.

13. Public sites and custom domains

You can publish pages and sites from your workspace. Anything you publish is public, and you are responsible for it. You must have the rights to everything on it, and it must follow section 6. We may take down content that breaks these terms or the law, or that we are told infringes someone's rights.

If you connect your own domain, you must own or control it, keep the DNS records we ask for, and renew it. We may stop serving a custom domain if it is misconfigured, hijacked, or used in breach of these terms. Certificates for custom domains are issued and renewed automatically but are not guaranteed.

Forms and embeds on public pages may collect information from visitors. You are responsible for the notices and consents that apply to what you collect.

14. Third-party services

The platform works with services that are not ours, including payment providers, telephony and messaging providers, email delivery, calendars, video, AI model providers, cloud infrastructure and the tools you choose to connect. Their terms and privacy policies apply to your use of them. We are not responsible for their services, their availability, or what they do with information you send them directly.

When you connect a third-party account, you authorise us to access it on your behalf as needed for the feature you turned on. You can disconnect it at any time, though some features will stop working.

15. Privacy and data protection

We handle personal information in line with the privacy laws that apply to us, including the Privacy Act 1988 (Cth) in Australia. How we collect, use, store and disclose personal information about our own account holders and website visitors is described in our privacy information, which we make available on request.

For personal information that you put into your workspace about Your Customers and others, you decide why and how it is processed, and we process it for you as your service provider. You are responsible for having a lawful basis for that processing and for responding to requests from the people it concerns. We will help you with those requests as far as the platform's features allow.

If you need a data processing agreement, ask us and we will provide one. We use service providers, called sub-processors, to run the platform, including in other countries. Where personal information is transferred overseas, we take steps designed to keep it protected.

If we become aware of a breach of security affecting personal information in your workspace, we will tell you without undue delay and give you the information you reasonably need to meet your own notification duties.

16. Security

We use reasonable administrative, technical and organisational measures to protect the platform and Your Content. These include separating workspaces from each other, controlling access, encrypting data in transit and at rest, scanning uploaded files for malware, logging, and monitoring.

No system is perfectly secure. You are responsible for your own security practices, including strong credentials, removing access for people who leave, and the permissions you give people and agents. Tell us promptly if you find a security problem, and give us reasonable time to fix it before you disclose it.

17. Intellectual property

We and our licensors own the platform, including its software, design, brand, templates and documentation. These terms give you a limited, non-exclusive, non-transferable, revocable right to use the platform during the term, for your own business, under these terms. We reserve all other rights.

Our names, logos and brand belong to us. Do not use them in a way that suggests we endorse you without our written permission.

If you send us feedback or ideas about the platform, you give us a free, perpetual, worldwide licence to use them without restriction or credit.

If you believe content on the platform or a public site infringes your rights, contact us through the details in section 28 with enough information to identify the material, and we will review it.

18. Confidentiality

Each of us may receive confidential information from the other. The receiver must keep it confidential, use it only for the purposes of these terms, and protect it with reasonable care. This does not apply to information that is public through no fault of the receiver, that the receiver already had or independently developed, or that it received lawfully from someone else.

A party may disclose confidential information if the law or a court requires it, as long as it gives the other party notice where it lawfully can. Your Content is your confidential information. This section continues after these terms end.

19. Availability and support

We work to keep the platform available and to fix problems quickly, but we do not promise that it will be uninterrupted, error-free or free of delays. We may carry out maintenance, with notice where we can. Features that rely on third parties, such as AI, telephony, email, payments and calendars, depend on those parties.

Support is provided through the channels and at the levels shown for your plan. Beta features may have limited support. Any specific uptime or support commitment must be in a written agreement with us to apply.

20. Warranties and disclaimers

Each of us confirms that it has the power to enter into these terms.

Apart from that, and to the extent the law allows, the platform, Friday and all outputs are provided "as is" and "as available". We do not give any other warranty, express or implied, including about merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the platform or any AI output will meet your needs or be correct.

Consumer law. Some laws, including the Australian Consumer Law, give consumers rights that cannot be excluded. Nothing in these terms excludes, restricts or modifies a right or remedy that the law says cannot be excluded. Where the law allows us to limit our liability for breach of such a guarantee, we limit it, at our option, to supplying the service again or paying the cost of having it supplied again.

21. Limitation of liability

To the extent the law allows:

  • we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business, opportunity, goodwill or data, however it arises;
  • we are not liable for loss that arises from your use of Friday or any AI output without reviewing it, from actions an agent you set up takes within the reach you gave it, from third-party services, or from events outside our reasonable control; and
  • our total liability to you for all claims arising from or related to these terms or the platform in any 12-month period is limited to the fees you paid us for the platform in the 12 months before the event that gave rise to the claim, or AUD 100 if you have paid nothing.

These limits do not apply to liability that cannot be limited by law, including for fraud, or for death or personal injury caused by negligence. They do not limit your obligation to pay fees.

22. Indemnity

You will defend and compensate us, and our officers, employees and contractors, against claims, losses, penalties and reasonable costs, including legal costs, that arise from: Your Content; your use of the platform or of agents in breach of these terms or the law; messages or calls sent or made through your workspace without the permission the law requires; your dealings with Your Customers; or a claim that Your Content infringes someone's rights. We will tell you promptly about a claim, let you control its defence, and give you reasonable help at your cost. You may not settle a claim in a way that admits fault for us or limits our rights without our consent.

23. Suspension and termination

You can stop using the platform and close your account at any time. Cancelling a paid plan stops renewal but does not by itself refund fees already paid.

We may suspend or restrict access immediately, with notice where we can, if you breach these terms, if your use threatens the security, legal position or reputation of the platform or others, if a payment stays overdue, or if the law or a regulator or provider requires it. We may end these terms if you materially breach them and do not fix the breach within 14 days of notice, or immediately for repeated or serious breaches. We may also end free accounts that are inactive.

When these terms end, your right to use the platform ends. We will keep your workspace data for 30 days so that you can export it. After that we may delete it, subject to the retention exceptions in section 8. Sections that by their nature should continue, including those on fees owed, intellectual property, confidentiality, disclaimers, liability, indemnity and governing law, continue after termination.

24. Changes to the platform and these terms

We improve the platform all the time, and we may change features. If we make a change that materially reduces the paid features you are using, we will tell you in advance where we reasonably can, and you may cancel and receive a refund of fees for the period after the change takes effect.

We may update these terms. If a change is material, we will tell you by email or in the platform at least 30 days before it applies, unless the change is needed sooner for legal or security reasons. If you keep using the platform after the change applies, you accept the new terms. If you do not accept them, stop using the platform and cancel before the change applies.

25. Notices

We may give you notice by email to the address on your account, by a message in the platform, or by posting on our website. You must keep your contact details up to date. Notices to us must be sent using the contact details in section 28. A notice by email takes effect when it is sent, and a posted or in-platform notice takes effect when it is made available.

26. Governing law and disputes

These terms are governed by the laws in force in Australia. Each of us submits to the non-exclusive jurisdiction of the courts of Australia, and of the courts that may hear appeals from them.

Before starting a formal proceeding, please contact us and give us a reasonable chance, at least 30 days, to resolve the issue with you. This does not stop either of us from seeking urgent relief from a court, and it does not limit rights you have as a consumer under the law.

27. General

  • Entire agreement. These terms, together with any order form or written agreement we sign with you, are the whole agreement about the platform and replace earlier discussions about it. If they conflict, the signed agreement prevails.
  • Changes need to be in writing. Apart from changes we make under section 24, an amendment must be agreed in writing by both of us.
  • Assignment. You may not transfer your rights or duties under these terms without our written consent. We may transfer ours as part of a merger, sale of our business or reorganisation, or to a related company.
  • Subcontractors. We may use subcontractors and service providers to deliver the platform and remain responsible for them under these terms.
  • Force majeure. Neither of us is liable for a delay or failure caused by events beyond its reasonable control, including outages of internet, power or cloud services, labour disputes, natural events, war or government action. This does not excuse a duty to pay.
  • Severability. If part of these terms is invalid or unenforceable, the rest continues, and that part is adjusted to the minimum extent needed.
  • No waiver. Not enforcing a right is not giving it up.
  • Relationship. We are independent contractors. These terms do not create a partnership, agency, employment or joint venture.
  • Third parties. No one else has rights under these terms, except that our officers, employees and contractors may rely on the limits and protections in them.
  • Language. These terms are written in English. A translation is for convenience only.

28. Contact us
